The Company agrees to provide the Services to the Customer subject to the terms of this Agreement. The Customer will create an administrative username and password for their account during the registration process. The Company reserves the right to refuse registration or cancel any passwords it deems inappropriate.

The Customer agrees not to reverse engineer, decompile, or disassemble any part of the Services, or any software, documentation, or data related to the Services ("Software"). The Customer also agrees not to modify, translate, or create derivative works based on the Services or any Software, except as expressly permitted by the Company or authorized within the Services. The Services and Software must not be used for time sharing or service bureau purposes or for the benefit of a third party. The Customer must not remove any proprietary notices or labels from the Services or Software.

The Customer agrees to indemnify and hold harmless the Company against any damages, losses, liabilities, settlements, and expenses (including, without limitation, costs and attorneys' fees) in connection with any claim or action arising from an alleged violation of this Agreement or Customer's use of Services. The Company has no obligation to monitor Customer's use of the Services but may do so and prohibit any use it believes may be (or alleged to be) in violation of this Agreement.

The Customer is responsible for obtaining and maintaining any Equipment and ancillary services needed to connect to, access or use the Services, including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers, etc. The Customer must also maintain the security of their Equipment, Customer account, passwords, and files, and is responsible for all uses of the account or Equipment with or without Customer's knowledge or consent.

Each party understands that the other party has disclosed or may disclose business, technical, or financial information relating to their business (hereinafter referred to as "Proprietary Information"). Proprietary Information of the Company includes non-public information regarding features, functionality, and performance of the Services. Proprietary Information of the Customer includes non-public data provided by the Customer to the Company to enable the provision of the Services ("Customer Data"). The Receiving Party agrees to take reasonable precautions to protect such Proprietary Information and not to use or divulge to any third person any such Proprietary Information except in performance of the Services or as otherwise permitted herein.

The Customer owns all right, title, and interest in and to the Customer Data and any data based on or derived from the Customer Data provided as part of the Services. The Company owns and retains all right, title, and interest in and to (a) the Services and Software, all improvements, enhancements, or modifications thereto, (b) any software, applications, inventions, or other technology developed in connection with support, and (c) all intellectual property rights related

You agree to indemnify and hold harmless PartnerChampion, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, suits or proceedings, as well as any losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of any third party. PartnerChampion reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with PartnerChampion in asserting any available defenses.
